| ARTICLE I |
| The name of this organization shall be the Catawba Valley Traffic Club, headquarters at Hickory, N.C. |

| ARTICLE II |
| OBJECT |
| The object of this organization shall be to promote a better relationship between shippers and carriers and personnel engaged in traffic and transportation matters.

| ARTICLE III |
| MEMBERSHIP |
Section 1
Applicants for membership must qualify as follows:
(a) Transportation (Railroads, Highway, Water, Telephone, and Telegraph Companies, Air, Trolley and Pipe Lines), Officers of Transportation Companies, also members of the American Railway Association, Demurrage and Inspection Bureaus, Express and Forwarding Companies, and similar organizations, together with their Chief Clerks and other assistants.
(b) Industrial: General Officers of Industrial Concerns; Traffic Managers of those in charge of, or interested in, traffic; Executive Officers, etc., of Traffic Assoc. (Civil or Private); Chief Clerks and other assistants.
Section 2
There shall be two classes of membership: Resident and Honorary.
(a) Resident: Any person qualifying under Section 1 of this Article may become a resident member.
(b) Honorary: Honorary members may be nominated by the Board of Directors subject to approval of the Club and shall pay no initiation fee or dues. The necessary qualifications for such members shall be the rendering of a distinctive service of sufficient importance to the welfare of the Club to justify such election. Honorary members shall be entitled to all the privileges of membership.
(c) Any member in good standing at time of his retirement shall be continued as a member of the Club without payment of dues, subject to approval of the Board of Directors. Such members shall be entitled to all the privileges of membership.
(d) Any member for cause, may be suspended or dropped from the membership by a unanimous vote of the Board of Directors at any directors meeting.

| ARTICLE IV |
| OFFICERS |
Section 1
The officers shall consist of a President, a First Vice-President (program), a Second Vice-President (membership), a Secretary, and a Treasurer. The officers will also serve as members of the Board of Directors. Eleven (11) members, shall constitute the Board of Directors, along with the retiring President as Chairman of the Board.

| ARTICLE V |
| OBJECT |
| The Constitution may be amended by two-thirds vote of a quorum, as defined in Article I Section 3 of the by-laws, of the members present at any regular meeting of the club, provided notice in writing of the proposed amendment or amendments has been given at the preceding regular meeting, and recommended by the Board of Directors, a copy thereof shall be filed with the Secretary, and mailed to each member, together with notice of meeting. |
